Agentic AI is what changed. You hand a system an objective and it works out how to get there. Reaching the objective is not the same as doing what you meant, and in one documented case a group of agents ran cyber attacks outside their remit and tried to manipulate the system scoring them.
What the board governs here is the delegation framework: on what basis a decision is handed over, what access comes with it, and what the company does when the answer arrives wrong. Procurement sees the saving, technology checks the permissions, finance watches the budget, and nobody holds the whole risk picture.
